2.Application and Acceptance

These Terms apply to every booking, order or request for Personnel or Services, whether made verbally, by email, through a website, booking form, purchase order or other means.

The Client accepts these Terms by clicking "Accept", "I Agree", "Book", "Confirm" or an equivalent mechanism; submitting a booking or order; requesting Personnel or Services; accepting or using Personnel or Services; or otherwise communicating acceptance.

Any individual accepting these Terms, making a booking or giving an instruction on behalf of the Client warrants that they have authority to bind the Client.

If these Terms conflict with a specific quote, work order or separate written agreement expressly accepted by Recruitz, that document prevails only to the extent of the conflict.

Recruitz may update these Terms. The version presented to, or in force and reasonably made available to, the Client when the relevant booking is made applies to that booking.

3.Supply of Personnel

Recruitz will use reasonable efforts to supply suitably experienced Personnel based on information provided by the Client. Recruitz does not guarantee any particular individual and may substitute Personnel where reasonably necessary.

Unless expressly agreed otherwise, Personnel supplied by Recruitz remain employees or engaged workers of Recruitz and do not become employees of the Client.

The Client must not materially change duties, site, location, hours, plant, equipment or nature of work without notifying Recruitz where the change affects placement, rate, competency, licensing or safety requirements.

4.Client Information and Warranties

The Client warrants that information supplied about duties, site, hazards, required skills, licences, plant, hours, PPE, induction and hazardous substances is complete and accurate.

The Client must immediately notify Recruitz of material changes to the work, workplace or risks.

Recruitz may rely on Client information when selecting Personnel, setting rates and assessing the placement.

5.Work Health and Safety, Supervision and Site Control

Each party must comply with WHS laws applicable to it. Nothing in these Terms transfers, excludes or contracts out of a statutory WHS duty.

The Client is responsible for day‑to‑day direction and competent supervision of Personnel and for workplace, plant, systems and site conditions within the Client's management or control.

The Client must provide a safe workplace, safe systems, site‑specific induction, task instruction and supervision, suitable plant, emergency arrangements and agreed site‑specific PPE.

The Client must consult, cooperate and coordinate with Recruitz on WHS matters and must not direct Personnel to perform work for which they lack required licences, tickets, qualifications or competency.

The Client must immediately notify Recruitz of incidents, injuries, near misses, hazards or notifiable events involving Personnel.

Recruitz may inspect a workplace and may refuse to place, suspend or withdraw Personnel where it reasonably considers risks are not adequately controlled.

6.Hazardous Materials and Site Conditions

The Client must disclose known or reasonably suspected asbestos, silica exposure, contaminated soil, hazardous material, dangerous substance or other material risk before work starts.

Recruitz may stop work where an undisclosed or inadequately controlled hazard is discovered or reasonably suspected until adequately controlled.

To the extent permitted by law, the Client indemnifies Recruitz against loss arising from undisclosed or inadequately controlled hazards within the Client's management or control, except to the extent caused by Recruitz.

7.Charges, COD Payment and Credit

Charges are set out in the applicable quote, rate card or booking confirmation and exclude GST unless stated otherwise.

Recruitz may invoice weekly, at completion or at another agreed or notified frequency.

All invoices are COD and payable immediately upon issue, unless Recruitz expressly agrees alternative credit terms in writing. Approved credit terms are a concession and may be varied or withdrawn on reasonable notice.

The Client must notify Recruitz in writing of a bona fide invoice dispute within 7 days, identifying the disputed item and reasons. The undisputed amount remains payable.

Interest accrues on overdue amounts at 2% per month above the Reserve Bank of Australia cash rate, calculated daily, to the extent permitted by law.

The Client must pay Recruitz's reasonable recoverable debt collection and legal costs.

Recruitz may require deposits, advance payment, security or a credit limit and may suspend or withdraw Services for overdue amounts.

Amounts must be paid without deduction or set‑off except where a non‑excludable legal right applies.

8.Rates, Employment Costs, Overtime and Allowances

Quoted rates are based on duties, hours, location and conditions disclosed by the Client.

Additional charges may apply for overtime, weekends, public holidays, shifts, travel, waiting time, penalties, loadings, allowances, site allowances, fares, meals or other employment entitlements.

Recruitz may adjust rates on reasonable notice to pass through increases in award rates, protected pay, enterprise agreement obligations, superannuation, payroll tax, workers compensation premiums, statutory levies, government charges or mandatory employment costs.

Where a regulated labour hire arrangement order, protected pay rate or binding workplace instrument applies, the Client must provide information reasonably required to determine the rate and Recruitz may adjust its charge rate accordingly.

9.Hours and Client Approval

The Client must ensure hours worked are accurately recorded and approved by a director, manager, supervisor, foreman, site representative or other person authorised or reasonably appearing authorised to approve hours on the Client's behalf. Approval of hours by such a representative binds the Client for invoicing purposes.

If submitted hours are not disputed within 2 business days after being provided to the Client or its representative, Recruitz's and the Personnel's records are evidence of hours worked, subject to contrary evidence.

Personnel are engaged for a minimum of 4 hours per booked shift unless otherwise agreed.

10.Cancellation, Delays and Waiting Time

A shift may be cancelled or rescheduled without cancellation charge if Recruitz receives notice before 3:30pm on the business day before the shift.

If less notice is given, or Personnel attend but cannot commence for a reason within the Client's management or control, the Client must pay at least the minimum engagement charge for each affected Personnel.

Recruitz may charge actual waiting time at the applicable rate where Personnel attend and remain available at the Client's request.

11.Equipment and Property

Tools, equipment and PPE supplied by Recruitz remain Recruitz property.

The Client is liable for reasonable repair or replacement costs for Recruitz property lost, damaged or stolen while under Client custody or control, beyond fair wear and tear, except to the extent caused by Recruitz.

12.Transport, Waste and Chain of Responsibility

The Client must provide accurate information about material type, weight, classification and hazardous characteristics.

The Client must not direct any vehicle to be loaded or operated contrary to lawful mass, dimension, load restraint, fatigue, speed or other chain‑of‑responsibility requirements.

To the extent permitted by law, the Client indemnifies Recruitz against loss or liability caused by materially incorrect information or unlawful Client directions.

13.Insurance and Workers Compensation

Recruitz will maintain workers compensation insurance as required by law and public liability insurance appropriate to its operations.

The Client must maintain public liability and other insurance appropriate to its workplace and operations and workers compensation cover for its own workers as required by law.

14.Liability and Indemnity

To the maximum extent permitted by law, Recruitz's aggregate liability arising from the relevant Services is limited to charges paid or payable for those Services during the 3 months immediately preceding the event giving rise to the claim.

To the maximum extent permitted by law, neither party is liable for indirect or consequential loss, loss of profit, revenue or business opportunity, except where prohibited by law or for fraud or wilful misconduct.

To the extent permitted by law, the Client indemnifies Recruitz against third‑party loss to the extent caused by the Client's breach, negligence, unlawful direction, or unsafe workplace, plant or equipment within its management or control.

Any indemnity is reduced to the extent loss was caused or contributed to by Recruitz.

Nothing excludes or modifies rights, remedies, statutory duties or liabilities that cannot lawfully be excluded, including under the Australian Consumer Law and WHS legislation.

15.Non‑Solicitation, Direct Engagement and Placement Fee

Recruitz invests substantial time and cost in identifying, recruiting, screening, verifying, onboarding, administering and supplying Personnel. The Client acknowledges Recruitz's legitimate commercial interest in protecting that investment and the commercial opportunity associated with Personnel introduced or supplied by Recruitz.

15.4No Circumvention

The Client must not facilitate, procure, arrange, disguise, postpone or knowingly permit an engagement for the purpose or effect of avoiding this clause. An indirect engagement described above is treated as an engagement by the Client.

15.6Notification

15.9Commercial Placement Charge

The Placement Fee is the agreed commercial charge for the benefit of engaging Personnel sourced, introduced or supplied by Recruitz outside the Recruitz labour‑hire arrangement. It reflects Recruitz's recruitment and onboarding investment and lost commercial opportunity and is not intended to operate as a penalty.

15.10Payment and Remedies

The Placement Fee is COD and payable immediately upon invoice, plus GST if applicable. Recruitz may seek appropriate injunctive or other relief for an ongoing or threatened breach, but must not recover twice for the same loss.

16.Termination

Either party may terminate ongoing supply by giving 14 days written notice.

Recruitz may terminate immediately or suspend Services for breach, non‑payment, insolvency or where Recruitz reasonably believes the workplace is unsafe.

Termination does not affect accrued rights or obligations, including unpaid Charges or Placement Fees. Clauses concerning payment, liability, confidentiality, direct engagement and general provisions survive as necessary to give them effect.

17.Force Majeure

Neither party is liable for failure or delay to the extent caused by circumstances beyond its reasonable control, including extreme weather, natural disaster, industrial action or government restrictions.

These Terms, together with any applicable quote, booking confirmation or work order, constitute the agreement concerning the relevant Services and replace earlier discussions on that subject to the extent inconsistent with them.
